Auxeira operates the Startup Success Engine (SSE), a behavioral economics-driven platform designed to reduce startup failure rates through intelligent incentive systems. Our Service includes:
The Service is provided on an "as is" and "as available" basis. We reserve the right to modify, suspend, or discontinue the Service at any time without notice.
You must be at least 18 years old to use this Service. By using the Service, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms.
If you are using the Service on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind such entity to these Terms.
When you create an account with us, you must provide information that is accurate, complete, and current at all times. You are responsible for safeguarding the password and for all activities that occur under your account.
You agree not to disclose your password to any third party and to take sole responsibility for activities and actions under your password, whether or not you have authorized such activities.
You must immediately notify us of any unauthorized use of your account or any other breach of security.

However, by submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and distribute such content in connection with the Service.
You represent and warrant that you own or have the necessary licenses, rights, consents, and permissions to grant the above license.

Certain aspects of the Service may be provided for a fee. You agree to pay all fees associated with your use of such paid services.

Our pilot program is limited to 500 startups and is provided free of charge during the pilot period. Participation in the pilot program is subject to additional terms and conditions.
We reserve the right to remove participants from the pilot program if they fail to meet these commitments or violate these Terms.
Pilot program participants may be transitioned to paid plans upon completion of the pilot period.
Our rewards system is designed to incentivize positive startup behaviors and milestone achievements. Rewards may include cash payments, discounts, and other benefits.
Tax implications of rewards are the responsibility of the recipient. We recommend consulting with a tax professional regarding the treatment of rewards in your jurisdiction.
THE INFORMATION ON THIS SERVICE IS PROVIDED ON AN "AS IS" BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, AUXEIRA EXCLUDES ALL REPRESENTATIONS, WARRANTIES, CONDITIONS, AND TERMS.
You acknowledge that you use the Service at your own risk and that you should consult with appropriate professionals before making business decisions.
IN NO EVENT SHALL AUXEIRA, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF YOUR USE OF THE SERVICE.
OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE USE OF OR ANY INABILITY TO USE ANY PORTION OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU ACTUALLY PAID US IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE LIABILITY.
Note: Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the above limitation may not apply to you.
You agree to defend, indemnify, and hold harmless Auxeira and its licensee and licensors, and their employees, contractors, agents, officers and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees).
This indemnification obligation applies to claims arising from: (i) your use of and access to the Service; (ii) your violation of any term of these Terms; (iii) your violation of any third party right, including without limitation any copyright, property, or privacy right; or (iv) any claim that your User Content caused damage to a third party.
We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.
If you wish to terminate your account, you may simply discontinue using the Service or contact us to request account deletion.
These Terms shall be interpreted and governed by the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
Any disputes arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the Commercial Arbitration Rules of the American Arbitration Association.
Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect.
What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms.
